PartnerSquare Terms of Use
Last Updated: September 17, 2026
These Terms of Use (“Terms”) govern your access to and use of the PartnerSquare website, software, applications, and related services (collectively, the “Service”) provided by PartnerSquare (“PartnerSquare,” “Company,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
If you are accessing or using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.
1. The PartnerSquare Service
PartnerSquare provides a software platform that enables businesses and other organizations to create, manage, display, and measure business partnerships, referrals, recommendations, promotional relationships, and related links and content.
The Service may allow users to:
- create business and partner profiles;
- identify and display business partners;
- publish links to partner websites or other online destinations;
- exchange or promote referrals and recommendations;
- track certain referral activity, engagement, and other performance information;
- manage partner relationships and related content; and
- access other features that PartnerSquare may make available from time to time.
The features available to you may depend on your subscription plan.
PartnerSquare provides the technology and infrastructure for these activities. PartnerSquare is not a party to any business, referral, commercial, contractual, or other relationship between users or between a user and a third party.
PartnerSquare does not guarantee that use of the Service will result in referrals, leads, website traffic, customers, revenue, conversions, or any other business result.
2. Eligibility and Accounts
You must provide accurate, current, and complete information when creating an account and must keep that information reasonably current.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- restricting access to your account;
- all activity conducted through your account; and
- notifying PartnerSquare promptly if you believe your account has been accessed or used without authorization.
You may not use another person’s or organization’s account without authorization.
PartnerSquare may refuse to create an account or may suspend or terminate an account in accordance with these Terms.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You may not use the Service to:
- violate any applicable law, regulation, or third-party right;
- engage in fraud, deception, impersonation, or misleading business practices;
- publish or distribute content that you do not have the right to use;
- falsely represent that PartnerSquare or another business endorses, sponsors, or is affiliated with you;
- create false, fictitious, or unauthorized partner relationships;
- send spam or engage in unsolicited or abusive promotional activity;
- interfere with or disrupt the Service or its underlying infrastructure;
- attempt to gain unauthorized access to accounts, systems, networks, or data;
- introduce malware, viruses, malicious code, or other harmful material;
- scrape, harvest, or systematically collect information from the Service except through functionality expressly provided by PartnerSquare;
- circumvent usage limits, security controls, or subscription restrictions;
- reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service, except where such activity cannot legally be restricted;
- copy, reproduce, resell, lease, sublicense, or commercially exploit the Service except as expressly authorized by PartnerSquare;
- use automated means to manipulate referral, engagement, traffic, analytics, or other Service metrics; or
- use the Service in a manner that could reasonably harm PartnerSquare, its users, its partners, or the integrity of the Service.
PartnerSquare may investigate suspected violations and may take appropriate action, including suspension or termination of an account.
4. Partner Relationships and Third-Party Businesses
PartnerSquare enables users to establish, display, manage, and promote relationships with third-party businesses and organizations.
PartnerSquare does not independently verify, approve, endorse, or guarantee:
- the identity of a partner;
- the existence or nature of a partner relationship;
- the accuracy of information supplied by a user;
- the quality or legality of a third party’s products or services;
- the performance of a referral or recommendation;
- the availability or accuracy of a third-party website; or
- any claim, representation, offer, promotion, or other content provided by a user or third party.
You are solely responsible for your relationships with your partners and for obtaining any authorization, consent, license, or other permission necessary to identify, display, promote, or link to another business or organization through the Service.
A business or organization appearing on PartnerSquare does not necessarily mean that PartnerSquare has a business relationship with, endorses, or recommends that business or organization.
Any communication, transaction, referral, lead, purchase, contract, or other interaction between you and a third party is solely between you and that third party.
PartnerSquare is not responsible for disputes arising between users and their partners or other third parties.
5. User Content and Partner Information
The Service may allow you to submit, upload, publish, display, or otherwise provide information and materials, including business descriptions, company names, logos, trademarks, photographs, website links, promotional materials, recommendations, partner information, and other content (“User Content”).
You retain ownership of User Content that you own.
By submitting User Content to PartnerSquare, you grant PartnerSquare a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, perform, transmit, distribute, format, modify as technically necessary, and otherwise use that User Content as reasonably necessary to operate, provide, maintain, improve, and promote the Service.
This license continues for so long as the User Content remains within the Service and for a reasonable period afterward as necessary for backups, archival systems, legal obligations, or legitimate business purposes.
You represent and warrant that:
- you own or control the rights necessary to submit the User Content;
- PartnerSquare’s use of the User Content as permitted by these Terms will not violate the rights of another person or entity;
- you have obtained any necessary permissions to use another business’s name, logo, trademark, or other materials; and
- the User Content is not fraudulent, misleading, unlawful, defamatory, or otherwise prohibited by these Terms.
PartnerSquare does not assume responsibility for verifying the ownership, accuracy, or legality of User Content.
PartnerSquare may remove or restrict access to User Content that it reasonably believes violates these Terms, applicable law, or the rights of another person or entity.
6. Intellectual Property
6.1 PartnerSquare Property
The Service and all software, technology, designs, interfaces, graphics, text, features, functionality, databases, analytics, trademarks, logos, and other materials provided by PartnerSquare are owned by or licensed to PartnerSquare and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms, PartnerSquare retains all rights, title, and interest in and to the Service.
6.2 Limited License
Subject to your compliance with these Terms and payment of applicable fees, PartnerSquare grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your applicable subscription period for your internal business purposes.
6.3 Restrictions
You may not:
- copy or reproduce the Service except as permitted by the Service;
- modify or create derivative works of the Service;
- sell, resell, sublicense, lease, or otherwise transfer access to the Service;
- attempt to extract or discover source code;
- remove proprietary notices;
- use PartnerSquare trademarks without permission; or
- use the Service to develop a substantially similar competing service through unauthorized copying or access.
Nothing in these Terms transfers ownership of PartnerSquare intellectual property to you.
7. Feedback
If you provide suggestions, ideas, comments, or other feedback regarding the Service (“Feedback”), you grant PartnerSquare the right to use that Feedback without restriction or compensation to you.
You understand that PartnerSquare may independently develop products or features that are similar to ideas contained in Feedback.
8. Subscriptions and Fees
8.1 Subscription Plans
Certain features of the Service require payment of subscription fees. Pricing, features, usage limits, and billing periods are described on the applicable PartnerSquare pricing or order page.
8.2 Billing
Unless otherwise agreed in writing, subscription fees are billed in advance on a monthly, annual, or other stated billing cycle.
By subscribing to a paid plan, you authorize PartnerSquare or its designated payment provider to charge the applicable fees to your selected payment method.
You are responsible for providing accurate billing and payment information.
8.3 Price Changes
PartnerSquare may change subscription prices or plans from time to time.
For existing paid subscriptions, PartnerSquare will provide reasonable advance notice of material price changes. Unless otherwise stated, a price change will apply beginning with the next applicable billing period after the effective date.
8.4 Taxes
Subscription fees do not include taxes, duties, or governmental charges unless expressly stated otherwise. You are responsible for applicable taxes associated with your purchase, except taxes based on PartnerSquare’s net income.
8.5 Refunds
Except where required by law or expressly agreed otherwise in writing, subscription fees are non-refundable.
9. Cancellation
You may cancel your subscription through your account or by contacting PartnerSquare using the contact information provided by the Company.
Unless otherwise stated for your plan, cancellation will take effect at the end of the then-current billing period. You will generally retain access to paid features through the end of that period.
Cancellation does not entitle you to a refund for unused portions of a billing period unless required by applicable law or otherwise agreed in writing.
10. Suspension and Termination
10.1 Termination by You
You may stop using the Service at any time and may cancel your subscription as described above.
10.2 Suspension or Termination by PartnerSquare
PartnerSquare may suspend or terminate your access to the Service if we reasonably believe that:
- you have violated these Terms;
- you have failed to pay amounts due;
- your use of the Service creates a security, legal, or operational risk;
- you have engaged in fraud, abuse, or deceptive activity;
- your use of the Service infringes or may infringe another person’s rights; or
- suspension or termination is reasonably necessary to protect PartnerSquare, its users, or the Service.
Where reasonably practical, PartnerSquare will provide notice and an opportunity to address the issue before terminating an account. PartnerSquare may suspend access immediately when reasonably necessary to address security, legal, fraud, abuse, or other material risks.
10.3 Effect of Termination
Upon termination, your right to access the Service will end.
PartnerSquare may delete or disable access to information associated with your account after termination, subject to applicable law, contractual obligations, legitimate business needs, backups, and our data-retention practices.
You are responsible for exporting any information you wish to retain before termination where export functionality is made available.
Sections that by their nature should survive termination—including provisions concerning intellectual property, User Content licenses, disclaimers, limitations of liability, indemnification, and dispute resolution—will survive termination.
11. Service Availability and Changes
PartnerSquare will use commercially reasonable efforts to maintain the availability and functionality of the Service but does not guarantee that the Service will always be uninterrupted, secure, error-free, or available.
The Service may be unavailable temporarily due to maintenance, updates, technical issues, third-party services, internet or telecommunications failures, or circumstances beyond PartnerSquare’s reasonable control.
PartnerSquare may modify, update, add, or remove features from the Service from time to time.
If PartnerSquare makes a material reduction to the core functionality of a paid Service, PartnerSquare will provide reasonable notice where practicable.
12. Third-Party Services and Links
The Service may contain links to websites, applications, services, or other resources operated by third parties.
Third-party services are not controlled by PartnerSquare.
Your use of third-party services is governed by the applicable third party’s terms and policies. PartnerSquare does not warrant or guarantee the availability, security, accuracy, legality, or performance of third-party services.
PartnerSquare is not responsible for losses, disputes, or damages arising from your use of third-party websites, products, or services.
13. Analytics and Service Data
PartnerSquare may collect information concerning the operation and use of the Service, including usage information, technical information, engagement information, referral activity, and performance data.
PartnerSquare may use such information to:
- provide and operate the Service;
- provide analytics and reporting;
- maintain and improve the Service;
- monitor security and prevent abuse;
- troubleshoot technical issues;
- develop new products and features; and
- create aggregated or de-identified statistics and analyses.
PartnerSquare may use aggregated or de-identified information for legitimate business purposes, including analysis, product development, benchmarking, and marketing, provided that such information does not reasonably identify an individual or customer.
The collection and use of personal information is governed by PartnerSquare’s Privacy Policy.
14. Data Security
PartnerSquare will use reasonable administrative, technical, and organizational measures designed to protect information maintained through the Service.
However, no internet-based service can be guaranteed to be completely secure. You acknowledge that transmission and storage of information involve risks that cannot be completely eliminated.
You are responsible for maintaining appropriate security practices for your own accounts, credentials, devices, and systems.
15. Privacy
Your use of the Service is also subject to the PartnerSquare Privacy Policy, which describes how PartnerSquare collects, uses, stores, and discloses personal information.
The Privacy Policy is incorporated into these Terms by reference.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
PARTNERSQUARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
PARTNERSQUARE DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS;
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- INFORMATION PROVIDED THROUGH THE SERVICE WILL ALWAYS BE ACCURATE OR COMPLETE;
- PARTNER RELATIONSHIPS, REFERRALS, LEADS, TRAFFIC, CUSTOMERS, SALES, REVENUE, OR OTHER BUSINESS RESULTS WILL RESULT FROM YOUR USE OF THE SERVICE; OR
- THIRD-PARTY BUSINESSES, PRODUCTS, SERVICES, OR WEBSITES WILL MEET YOUR EXPECTATIONS.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNERSQUARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF PARTNERSQUARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PARTNERSQUARE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE FEES YOU PAID TO PARTNERSQUARE FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply regardless of the legal theory on which a claim is based, including contract, tort, negligence, strict liability, or otherwise.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
18. Indemnification
You agree to defend, indemnify, and hold harmless PartnerSquare and its affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, demands, actions, damages, liabilities, losses, judgments, costs, and reasonable attorneys’ fees arising out of or relating to:
- your breach of these Terms;
- your User Content;
- your violation of applicable law;
- your violation or infringement of another person’s intellectual property, privacy, publicity, or other rights;
- your representations concerning a partner or third party; or
- your use of the Service in violation of these Terms.
PartnerSquare will provide reasonable notice of any indemnified claim and reasonable cooperation at your expense. PartnerSquare may participate in the defense of the claim with counsel of its choosing.
You may not settle an indemnified claim in a manner that admits wrongdoing by PartnerSquare or imposes an obligation on PartnerSquare without PartnerSquare’s prior written consent.
19. Copyright and Intellectual Property Complaints
PartnerSquare respects the intellectual property rights of others.
If you believe that content available through the Service infringes your copyright or other intellectual property rights, you may contact PartnerSquare with sufficient information for us to investigate the claim.
PartnerSquare may remove or restrict access to allegedly infringing material and may suspend or terminate repeat infringers where appropriate.
20. Confidentiality
If you receive non-public information from PartnerSquare that is identified as confidential or that reasonably should be understood to be confidential, you agree to use reasonable care to protect that information and to use it only for purposes related to your use of the Service.
This obligation does not apply to information that:
- is or becomes publicly available through no breach of these Terms;
- was already lawfully known to you;
- is independently developed without use of confidential information; or
- is lawfully received from another source without a duty of confidentiality.
This section does not create confidentiality obligations regarding information that must be disclosed by law, regulation, or valid legal process.
21. Communications and Electronic Agreements
By creating an account or using the Service, you consent to receive electronic communications from PartnerSquare concerning your account, transactions, security, service updates, and other matters relating to the Service.
You agree that electronic notices, agreements, records, and communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
22. Changes to These Terms
PartnerSquare may update these Terms from time to time.
When we make material changes, we will provide reasonable notice, which may include posting the updated Terms on the website, sending an email, or providing notice through the Service.
The updated Terms will become effective on the date stated in the updated Terms.
Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If you do not agree to material changes, you should stop using the Service and cancel your subscription.
23. Governing Law
These Terms will be governed by the laws of the State of Washington, without regard to its conflict-of-law rules, except to the extent federal law applies or applicable law requires otherwise.
24. Dispute Resolution
Except where prohibited by applicable law or where a party seeks temporary or preliminary injunctive relief concerning intellectual property, confidentiality, security, or unauthorized access to the Service, disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration rather than in court.
The arbitration will be conducted in the State of Washington under commercially reasonable arbitration procedures agreed upon by the parties or, if the parties cannot agree, under the rules of a nationally recognized arbitration provider.
The arbitrator will have authority to award the same individual remedies that a court could award under applicable law, subject to these Terms.
Nothing in this section prevents either party from seeking emergency equitable relief from a court of competent jurisdiction where necessary to prevent immediate and irreparable harm.
[Attorney review recommended here to specify the arbitration provider, venue, rules, and treatment of class or representative proceedings.]
25. Class Actions and Representative Proceedings
To the extent permitted by applicable law, disputes must be brought on an individual basis and neither party may participate in a class, collective, consolidated, or representative action concerning the Service or these Terms.
This provision does not apply where such a waiver is prohibited by applicable law.
26. Force Majeure
PartnerSquare will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government action, labor disputes, power or telecommunications failures, internet disruptions, cyberattacks, failures of third-party providers, or other events beyond PartnerSquare’s reasonable control.
27. Assignment
You may not assign or transfer these Terms or your account without PartnerSquare’s prior written consent, except in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of your assets.
PartnerSquare may assign these Terms in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its business or assets.
28. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
29. Waiver
A failure by PartnerSquare to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.
30. Entire Agreement
These Terms, together with the PartnerSquare Privacy Policy and any applicable written order form or subscription agreement, constitute the entire agreement between you and PartnerSquare concerning your use of the Service and supersede prior or contemporaneous agreements concerning the same subject matter.
If there is a conflict between these Terms and a separately executed written agreement between you and PartnerSquare, the written agreement will control with respect to the conflicting provision.
31. No Agency or Partnership
Your use of PartnerSquare does not create a partnership, joint venture, agency, employment, franchise, fiduciary, or other similar relationship between you and PartnerSquare.
PartnerSquare is a technology service provider and is not a party to the business relationships or transactions facilitated through the Service.
